Company Setup in Thailand: Thai Limited and BOI

Registering a company in Thailand is not just paperwork. The structure you choose decides who owns the company, whether you can get a work permit and visa through it and whether a bank will open an account for it. In 2026 the Department of Business Development (DBD) also tightened its checks on companies with foreign shareholders and directors.

We help you choose a legal structure, prepare and explain the registration documents and register the company through licensed partners. Then we set up what comes next: tax registration, accounting, a bank account, a work permit and a visa. We don’t offer nominee shareholders or other shortcuts that put your company at risk.

Who Is This For?

Starting a business in Thailand

You have a business idea or clients here and need a company to operate legally.

Foreign companies expanding here

You want a Thai subsidiary, a BOI-promoted company or a representative office.

Working through your own company

You need a company that can employ you with a work permit and a business visa.

Owners of an existing company

Changes of directors, shareholders, address or capital, and keeping the company compliant.

Not sure which structure fits? That is the first thing we check, before you pay for registration.

Company Structures

Thai Limited Company

The most common structure and faster to set up. If the company is foreign-majority and operates a restricted activity, a Foreign Business License, BOI promotion or another applicable exemption may be required.

BOI-promoted company

Up to 100% foreign ownership for promoted activities, tax incentives and easier work permits and visas. BOI is selective.

Other routes

Representative office, Foreign Business License or, for US citizens, the US Treaty of Amity. We explain when each one makes sense.

What is allowed depends on your business activity, so we check it against the Foreign Business Act lists and the current BOI categories for your case. Planning a BOI company? See BOI Promotion

What We Do

  • Review your business activity, ownership plan and goals and recommend a legal structure
  • Company name reservation and the Memorandum of Association: the Thai original and an English version
  • DBD registration through licensed partners
  • Tax ID, VAT and social security registration when required
  • A corporate bank account after registration
  • Work permits and visas for directors and staff
  • Monthly accounting and tax filing through licensed partner accountants
What we don’t do: nominee shareholders, borrowed Thai names or paper structures that hide foreign control. They are illegal in Thailand, and the DBD now checks for them.

Who Does What

Our team

Structure planning, documents and translations, coordination of every step, the bank account, work permit and visa, and all communication in your language.

Licensed partners

Thai lawyers for registration filings and legal documents, and licensed accountants for accounting, tax and audit. We coordinate them and keep you informed.

You always know who handles each part and what it costs. Partner fees are confirmed in writing before you pay.

What We Need to Start

  • Your business activity and where you plan to operate
  • Planned shareholders and directors, and their nationalities
  • Planned registered capital and where the money comes from
  • How many work permits and visas you need
  • Office address, or whether you need a virtual office
  • Your timeline
Important: shareholders’ funds must be real and traceable. Plan the capital and its source before registration, not after.

FAQ

Can a foreigner own 100% of a Thai company?

It depends on your business activity. A foreign-majority company that operates an activity restricted by the Foreign Business Act needs a Foreign Business License, BOI promotion or another applicable exemption, such as the US Treaty of Amity for US citizens. We check which applies to your activity.

How many shareholders does a Thai company need?

A Thai limited company needs at least two shareholders. Who they are and how much each one holds depends on your business activity and the structure we agree on.

What registered capital do I need?

It depends on your plans. Work permits, visas and foreign ownership each come with their own capital requirements. We calculate the right amount for your case before registration.

Can I use a nominee Thai shareholder?

No. Nominee shareholding is illegal in Thailand, and in 2026 the DBD tightened checks on where Thai shareholders’ money comes from. We help you build a legal structure instead.

How long does it take?

Once the documents are ready and signed, the DBD registration itself is usually quick. The full setup with tax registration, a bank account and work permits takes longer. You get a timeline with your quote.

Do I need to be in Thailand?

Not always for the registration itself, but usually for the bank account and the work permit. We plan it so you make as few trips as possible.

Can you handle accounting after the setup?

Yes. Monthly accounting and tax filing through licensed partner accountants, from 5,290 THB per month.

Are you a law firm?

No. UnblockPro.Asia is a registered Thai coordination and support company. Licensed Thai lawyers and accountants handle the parts that require a license, and you know their fees in advance.

Requirements are set by the DBD, the BOI and other Thai authorities and can change without notice. This page is general information, not legal advice.
